Brazil SCE-IED reporting: filing triggers and dates
A Brazilian company that receives foreign direct investment can have two reporting duties: information linked to a qualifying investment event, and periodic statements based on its total assets. The Central Bank sets separate triggers and deadlines for each.
The short answer
The Brazilian company receiving foreign direct investment carries the reporting responsibility under SCE-IED, even when a non-resident shareholder funded it. The company may appoint a representative to work in the system.
Two separate tracks can apply. Qualifying investment events trigger information about the investor and investment. Periodic statements apply when the company's total assets meet the threshold for a quarterly, annual or five-year statement. A company can be below a periodic threshold and still have an event to report.
SCE-IED is free to use. The company formation guide explains how a Brazilian entity is set up; this page covers the Central Bank reporting that follows.
Event reporting and the 30-day rule
The reporting trigger is not a universal 30-day filing for every payment. Resolution BCB 278 sets an amount threshold of US$100,000, or its equivalent, for a financial transfer related to a non-resident investor and for specified movements. It also treats the reference date of an applicable periodic statement as a reporting trigger.
Some transfer information reaches SCE-IED automatically from Brazil's Exchange System. Article 35 covers currency inflows and specified remittances abroad, including profits, dividends, interest on equity and return of capital. The company still needs the investor and recipient identified in the system, and an SCE-IED code is generated for the reporting relationship.
Article 36 sets a 30-day deadline for listed movements that are not carried out through the automatic route in article 35. Examples include capitalisation through tangible, intangible or virtual assets, an international transfer of shares or quotas, and certain distributions or returns of capital handled outside the Exchange System. Resolution BCB 521/2025 also brings foreign direct investment in virtual assets under Resolution BCB 278; that amendment (article 4 of Resolution 521) took effect on 4 May 2026. Check the current rules and manual for how a virtual-asset transaction must be reported. The exact treatment depends on the transaction. Do not apply the 30-day wording to every incoming transfer.
Periodic statements
The required statement depends on total assets and the reporting reference date. Thresholds below are stated in Brazilian reais.
| Statement | Asset threshold | Reference dates | Filing window |
|---|---|---|---|
| Quarterly | R$300 million or more | 31 March, 30 June or 30 September | 1 April to 30 June; 1 July to 30 September; or 1 October to 31 December, respectively |
| Annual | R$100 million or more | 31 December of the year before filing | 1 January to 31 March of the following year |
| Five-year | R$100,000 or more | 31 December in a calendar year ending in 0 or 5 | 1 January to 31 March of the following year |
The annual and five-year thresholds use the preceding 31 December asset position. A recipient subject only to the five-year statement is exempt from detailing its foreign direct investment in SCE-IED; the five-year statement itself remains due. There is no annual statement in a year when the five-year statement is due. If an entity's filing year is unclear, confirm the applicable asset date in the current SCE-IED manual before filing.
As of 5 October 2026, the quarterly statement for the 30 September 2026 reference date can be filed from 1 October through 31 December 2026. A company with at least R$100 million in total assets at 31 December 2026 will have an annual statement window from 1 January through 31 March 2027.
Information and records to prepare
The periodic statement can require information on the recipient's corporate structure and non-resident investors, its accounting and economic value, operating and non-operating profit, and additional accounting data. Annual and five-year statements may also request information such as sector, employment, revenue, technology and international trade.
For an event report, keep a dated record of the transaction, the non-resident investor, the recipient and the supporting documents. The responsible party must keep supporting documentation current and available to the Central Bank. Resolution BCB 278 sets the retention period at ten years after the foreign direct investment of each investor in the recipient has been liquidated.
Before using the system, classify the item as a qualifying event, a periodic statement or both. Then check the reference date and reporting window against the current Central Bank manual. SCE-IED access uses a company login through Sisbacen or a gov.br account with a digital certificate at Silver or Gold level.
Keep the systems separate
SCE-IED is for foreign direct investment in a resident Brazilian company. It is not the system for external loans, which use SCE-Crédito. It is also separate from CBE, the declaration for capital held abroad by Brazilian residents.
This distinction matters when a foreign company funds a Brazilian importer. The recipient reports the investment information under SCE-IED; the non-resident investor does not replace the recipient as the responsible party. Resolution BCB 278 also says non-compliance may result in related financial transfers being prohibited until the irregularities are corrected.
How this connects to company set-up
Our company set-up service includes registering the initial foreign capital contribution through SCE-IED. Our accounting and compliance service covers import bookkeeping and tax filings. If you need periodic SCE-IED statements handled, ask for that work to be named in the written scope.

How we can help
Frequently asked questions
Who is responsible for SCE-IED information?
The Brazilian recipient of foreign direct investment is responsible. It may appoint a representative to submit, consult or update the information.
Does every transfer need a manual filing within 30 days?
No. The exchange system automatically sends information on specified transfers to SCE-IED. The 30-day rule applies to the movements listed in article 36 of Resolution BCB 278 when they are not captured through that system.
Does every foreign-owned Brazilian company file a periodic statement?
No. Quarterly and annual statements depend on total-asset thresholds. A five-year statement applies in years ending in 0 or 5 when the asset threshold is met. A recipient subject only to the five-year statement is exempt from detailing foreign direct investment in SCE-IED, but the statement itself remains due. Investment-event rules need separate review.
Is SCE-IED the system for foreign loans or Brazilian assets abroad?
No. SCE-IED covers foreign direct investment into a Brazilian recipient. External credit has a separate system, SCE-Crédito. CBE covers assets held abroad by Brazilian residents.
